What You’ll Do:
- Manage firm’s corporate entities, including formation, maintenance and dissolution of entities, preparing corporate filings, and tracking authorized signatories.
- Assist Corporate Secretary in management of public company board of directors and other firm committees, including meeting scheduling, preparing and maintaining charters, resolutions and minutes, D&O questionnaires and other matters.
- Assist in insider and employee share transactions, including documentation to facilitate transactions with transfer agent and public reporting.
- Assist in disclosure documents and responding to regulatory exams and inquiries.
- Assist in tracking agreements, legal invoices and other department matters.
- Such other activities as may be assigned by the Deputy General Counsel.
What We’re Looking For:
- 2+ years of relevant experience as a corporate paralegal from a law firm or in-house legal team
- Meticulous attention to detail and strong organizational skills
- Experience with corporate governance and subsidiary management a plus
- Collaborative team member with excellent research, written, and communication skills
- Experience working in a fast-paced environment with a “no task is too small” mentality
- Demonstrated understanding of handling confidential matters
- Bachelor’s degree
The base salary ranges included below will be commensurate with candidate experience, expertise and local market. Final offer amounts are determined by multiple factors, including candidate experience and expertise.
