Team:
Our legal team is small, nimble, and entrepreneurial: a startup within a startup. Our Commercial Counsel will partner closely with our supply chain and business teams to build and strengthen relationships with our third-party vendors and business partners, including advising on sourcing strategies, structuring and negotiating contracts, and managing post-execution disputes. You will support Relativity as we develop our Factory of the Future, and partner with cross-functional teams to design and implement new processes and controls and to navigate a myriad of issues as we continue to scale.
We need a lawyer who is entrepreneurial, eager to develop new skills and tackle new projects, and willing to present creative solutions to challenges you come across, all while being driven by a strong ethical compass. This role may sit in any one of Relativity’s offices in Long Beach, CA, Washington, D.C., Cape Canaveral, FL, or Stennis, MS. Fully remote options are not available.
What you’ll do:
- Partner with Relativity’s supply chain and business teams to manage the full life cycle of our vendor contracts.
- Structure, review, and negotiate vendor agreements, including for services, material supply, capital equipment purchases, software licenses, SaaS subscriptions, and construction.
- Advise business stakeholders on legal and commercial risks associated with all phases of our vendor relationships, from sourcing to wind down, in collaboration with IP, regulatory, finance, logistics, and other business teams.
- Advise business teams on contract interpretation and managing vendor disputes.
- Support the continuous improvement of standard templates, playbooks, and processes.
What you need to know:
- 5+ years of legal experience in technology transactions and/or complex commercial transactions at a law firm or corporate legal department.
- Significant experience leading negotiations on vendor transactions with limited supervision.
- Excellent contract drafting skills with an ability to find creative solutions when negotiations are at an impasse.
- Demonstrated ability to communicate clearly, both orally and in writing, to internal stakeholders, senior leadership, and external business partners.
- Demonstrated ability to juggle competing priorities and deadlines in a fast-paced environment.
- Demonstrated ability to offer pragmatic advice by balancing legal risk with real-world considerations.
Nice to have but not required:
- Experience with construction/infrastructure agreements.
- Experience in aerospace, hardware, or manufacturing industries.
- Experience with sales transactions
