Reporting to the Deputy General Counsel, you will draft and negotiate a high volume of commercial agreements in support of highly innovative Software-as-a-Service (SaaS) and electronic payments companies. You will serve as a key contributor to the general corporate, regulatory, and commercial functions. You will play a key role in a variety of legal matters, ranging from drafting and negotiating contracts, structuring partnership and alliance opportunities, to advising on marketing collateral. This position will help the Company navigate strategic corporate initiatives by managing risk across our contracts.The Corporate Counsel will have transactional experience that will apply to new and unfamiliar contexts.
The chosen candidate will perform a broad range of legal work, including drafting and negotiating a wide variety of contracts, and managing the workflow of the contracting process with a focus on supporting the sales and operations organizations on commercial engagements. The Corporate Counsel will work collaboratively with members of the Legal, Compliance, and Information Security Teams, as well as become a trusted legal advisor to Invoice Cloud.
Responsibilities
- Drafting, reviewing, and revising contracts and advising on contracts and other transactional agreements, including services agreements, customer contracts, collaborations and teaming agreements, referral agreements, nondisclosure agreements, and other commercial contracts.
- Advising the business on contract interpretation, terms, issues, risks and negotiating strategies, protecting confidential and/or privileged information and protecting company IP and other assets.
- Assisting in improving and maintaining contract workflows, document management databases, and document retention procedures for contracts and other company records.
- Collaborating with the product, sales, implementation, and support teams to achieve key business objectives.
- Preparing and delivering training sessions and materials to variety of internal client audiences.
- Attending meetings as necessary to assist in legal planning, strategies and drafting, and participating in contract and other business negotiations.
- Helping oversee and manage outside counsel.
- Reviewing and approving marketing and advertising materials.
- Keeping abreast of legal and regulatory developments, and facilitating change management by timely and succinctly explaining important legal developments to senior management.
- Partnering closely with Compliance and Information Security staff.
- Providing other support to the Deputy General Counsel and General Counsel as requested.
First 30 days
- Learn and become comfortable with the systems and processes for contracts and legal request management.
- Shadow the Deputy General Counsel and other attorneys through contract lifecycle, including negotiations.
- Build a rapport with various Legal, Compliance, and Information Security team members, as well as key stakeholders.
First 60 days
- Become knowledgeable in the business and regulatory environment in order to provide practical advice and guidance, and develop solutions to issues while effectively managing legal and practical business considerations.
- Negotiate and draft high volume of commercial, enterprise SaaS contracts through the contract lifecycle to execution.
First 90 days
- Further develop and refine contract review playbook to assist with the negotiating process.
- Assist in the review and management of marketing and advertising material, including press releases, social media posts and competitive collateral.
Qualifications
- Bachelor and Juris Doctor Degrees.
- Licenses/Certifications: Currently admitted to at least one state bar. Remote candidates will be considered for this position.
- 4-7 years of experience drafting and negotiating complex commercial agreements at a law firm or corporation.
- Strong writing, communication, negotiation, inter-personal and legal research skills, as evidenced by relevant work experience, are essential.
Preferred Qualifications
- Previous in-house software or payments company experience is a plus.
- The ability to communicate effectively and clearly, both in verbal and written communications.
- Experience with software and related services and alliance agreements.

Base Compensation Range: ($131,000.00 to $170,000.00) annuallyBase salary is one component of total compensation. Employees may also be eligible for an annual bonus and equity. Some roles may also be eligible for overtime pay.The above represents the expected base compensation range for this job requisition.
