Job Profile:
Banyan Software is seeking to add an exceptional Legal Counsel to join its legal team at its head office in Toronto. The successful candidate will work with the General Counsel and play a key role in supporting the company’s M&A activity across the United States, Canada and internationally as well as assist with ongoing general matters for the legal department, as required in the day-to-day functioning of the company.
Key Accountabilities and Responsibilities
- Work alongside the General Counsel, and where appropriate, outside counsel, to provide legal support and advice on a wide variety of M&A matters across the United States, Canada and internationally.
- Assist in all stages of the acquisition process, including reviewing and negotiating non-disclosure agreements, performing due diligence, drafting and negotiating letters of intent and definitive transaction documents and supporting closing transactions and post-closing integration.
- Work collaboratively with the company’s M&A, Business Development, Finance and Human Resources teams.
- Assist with other strategic transactions.
- Support portfolio companies on day-to-day commercial matters (employment, contracts, etc.)
- Support portfolio companies in contract review and negotiation, drafting and editing for various business agreements including: contracts related to customers, vendors, suppliers and distributors, sales partners, product collaborations, and other contracts related to intellectual property, real estate, operations and product development.
Education and Professional Skills/Knowledge
- LL.B. or J.D. degree (or equivalent).
- Good standing with a Canadian Law Society or U.S. state bar.
- 4-5 years of broad corporate and M&A experience.
- High-energy self-starter and a team player with strong interpersonal skills.
- Ability to thrive in a fast-paced entrepreneurial environment.
- Excellent drafting and communications skills.
- Strong organizational skills and ability to manage multiple high-priority projects and meet deadlines in a fast-paced environment.
- Strong decision-making abilities, attention to detail, and ability to give executive-level guidance in a timely manner.
- Preference for Toronto-based candidates.
In this role you will be working in a hybrid capacity, visiting our Headquarters team located in Toronto, ON, Canada. (Eastern Standard Time Zone).
