Headquartered in Burlington, ON (Canada), and through its multiple subsidiaries across North America, Europe, Africa, and Asia, Anaergia is trusted at more than 1,600 installations globally.Job Goals:The Junior Legal Counsel will support the Legal Function in corporate activities such as contract review, corporate governance and compliance.
The resource will have the opportunity to gain international exposure by providing our stakeholders with advice, guidance, and support related to a wide range of legal issues or concerns, relating to Italy and other EU countries.The role will report directly into the General Counsel EMEA, having a high interaction with other members of the Legal Function based in the US. Therefore, a high proficiency in written and spoken English is a must.Job Responsibilities:
- Contract review: drafting, review and negotiation of contracts in the energy industry (EPC, O&M, supply agreements, agency agreements, MOU, NDA etc.);
- Corporate Governance: preparation of governing bodies meetings, minutes, resolutions and proxies; Supporting M&A activities; Interact as required with the relevant local, international and group companies and official bodies.
- Compliance: support with activities in the corporate compliance area (e.g. company guidelines, GDPR data protection, Legislative Decree 231/01).
- Litigation: support in managing litigation, coordinating strategy and controlling budgets in coordination with other stakeholders, as well with external counsel, legal consultants, notaries and litigation experts.
Job Requirements:Education
- Bachelor’s or master’s degree in law, with admission to practice in Italy.
Experience
- Previous experience as junior counsel in a global business environment, in law firm or corporate legal department.
- Good knowledge of the Italian Public Contracts Code (Legislative Decree 50/2016) and of the Environmental Code (Legislative Decree 152/06), and applicable European Union Directives.

- Possess excellent analytical and research skills.
- Outstanding interpersonal oral and written communication skills required.
- Oral and written fluency in Italian and English; other European languages would be a plus.
