BreakForth Solutions seeks a proactive and experienced Contracts Administrator to plan and direct all aspects of our contracts administration. The selected candidate will work closely with the Director of Contracts, other executive team members, customers, vendors, subcontractors, and external/retained legal entities to establish and advance strategic business and overall direction of contractual functions and requirements. The selected candidate will be entrusted to support as a custodian of relevant contractual policies, procedures, contractual documents, and private company information, including government and vendor contracts, acquisition strategies, and documentation. - Support the Director of Contracts and other executive staff members in understanding various contractual matters such as new and existing contractual laws, contract requirements, risks, and deliverables requirements.
- Responsible as the Contracts Administrator for making recommendations on contracts strategy; executing contracts administration from pre-award through contracts close-out andfacilitatingappropriate legal and contractual responses on behalf of the Company.
- Support implementation of efficiency ideas, cost reduction measures, and implementing changes pertaining to areas of responsibility.
- Support any potential corporate venture and acquisition target efforts, including due diligence and acquisition integration (M&A), through change Management, continuous process improvements, tools, and process integration.
- Drafts, negotiates, executes, and/or modifies contractual templates or initial contract agreements (NDAs, CTAs, TAs, Subcontracts, Purchase Orders, Modifications, Consulting Agreements, employment, and vendor agreements).
- Develop, implement, and enforce standardized operating processes and procedures for the efficient delivery and evaluation of contractual requirements.
- Conduct research and facilitate the company’s strategy pertaining to contractual actions.
- Liaise with outside corporate counsel to ensure the company is protected and compliant regarding statutory filings, intellectual property concerns, copyrights, trademarks, trade secrets, patents, insurance matters, team member relations, and contractual responses.
- Analyze solicitations contracts clauses, terms and conditions, and ensure compliance.
- Create, review, edit, track, and manage modifications, call/task order modifications, and associated funding and documents for all corporate contracts.
- Ensure contract/subcontract compliance with government regulations (FAR, DFAR, supplements), corporate policies, and best practices; demonstrate significant understanding and experience with various contract types, including FFP; Cost/CPFF/IF, T&M; LH.
- Evaluate and support maintenance of existing contracts to ensure the Company meets all requirements and responds to all Contracts Deliverable Requirements List (CDRLs) documents and requirements.
- Support negotiations of claims, manage contractual changes, resolve disputes, and facilitate conflict resolution with the Government, Prime Contractors, Subcontractors, and third parties.
- Review reports, awards, and modifications for existing contracts to ensure alignment with previous awards and or modifications.
- Assist in oversight of SAM.gov entry and compliance, SBA Certify 8(a), and WOSB compliance entry and responses.
- Assist in identifying, developing, and implementing new contract policies and processes to support contract administration and ISO 9001-2015 initiatives and requirements.
- Support the management, review, maintenance, and reporting for GSA Contracts and GSA MAS contract consolidation of the Company’s multiple award schedule contracts; GWAC administration and compliance; Best In Class Vehicles (BIC).
- Advise and participate in reviewing and submitting corporate proposals; support the writing of contracts volume; support cost submission compliance, reviews, and award responses/acceptance. Participate in proposal kick-offs and subcontractor team meetings.
- Be able to work with our Unanet Purchasing/Contracts software to generate Company purchase orders and other subcontract documents.
- Upload all Company contractual documents, documentation, and artifacts to our Corporate MS TEAMS and/or UNANET contracts portal.
- Assist in training and curriculum related to contracts and program management to maintain efficient team structure and performance through sound processes and tools that meet future needs.
- Establishes and communicates strategies to ensure high-value contractual terms and conditions, defines methodologies, tasks, and activities, and describes roles and responsibilities for performing to personnel. Communicates broadly to help ensure overall coordination for cross-functional teams.
- Prepare and contribute to internal weekly and monthly reports and information for review and consultation with the Director of Contracts.
- Work with other corporate stakeholders and employees as a team player and advocate.
- Support and/or facilitate other corporate strategic and contractual initiatives as required.
Education/Skills/Experience Requirements:
- Bachelor’s Degree in Business Administration, Contracts Administration, or relative legal degree.
- Minimum 5 years’ substantial contract and subcontract administration experience.
- Experience working in a fast-paced environment, ensuring corporate compliance, and mitigating corporate risk.
- Proficient contractual experience in various contract matters, team member relations, and business practices.
- Sound knowledge of the FAR and DFAR, government statutes, rules, and regulations pertaining to business and government contracts.
- Strong negotiation and professional response skills.
- Must possess excellent written and verbal communication skills.
- Must possess a positive attitude, be hands-on, and be willing to support a broad range of relative corporate objectives.
- Must be willing to work in an “all hands on deck” environment.
