As our ideal candidate, you possess subject matter expertise in energy transactions. Previous successful hires have had prior work experience as in-house legal and compliance attorneys, oil and gas finance executives, or counsel at a state regulatory agency. At Oliva Gibbs, your dedication and precision will be paramount as you collaborate with all team members to consistently provide timely and accurate solutions to our clients.
Key Responsibilities
Transactional Energy Knowledge:
Ability to represent clients in acquisitions, dispositions, joint ventures, mergers, reorganizations, spin-offs, or other change of control deals in the energy industry.
Assist in all phases and all sizes of acquisitions and divestitures.
Knowledge of the development, acquisition and sale of domestic oil and gas assets, with a particular focus on upstream is preferred. Relevant offshore, international, downstream, or midstream oil and gas experience will also be considered.
Conduct due diligence reviews for clients involved in energy transactions including mergers, acquisitions, and joint ventures.
Provide guidance on legal risks, potential liabilities, and strategies for mitigating legal issues related to energy transactions.
Contract Negotiation and Drafting: Draft, negotiate and advise on oil and gas related agreements, including but not limited to exploration agreements, participation agreements joint development agreements, pooling and unitization agreements, area of mutual interest agreements, farm-out and farm-in agreements, operating agreements, and transportation, gathering and processing agreements. Ensure that contracts protect the interests of the client and comply with relevant laws.
Regulatory Compliance: Stay updated on relevant federal, state, and local laws and regulations.
Energy Dispute Resolution: Collaborate with other team members, when necessary, on oil and gas disputes involving contract construction, consent and preferential rights, breach of representations and warranties and indemnification claims.
Team Collaboration: Work collaboratively with all team members fostering a spirit of teamwork through honesty, hard work, and trust, while ensuring seamless execution of complex legal transactions.
Meet quarterly billable requirement of 450 hours.
Actively pursue continuous learning opportunities.
Support other activities and projects as assigned or dictated by business priorities.
Position Requirements
Juris Doctor (JD) degree and active bar license with at least three years’ experience negotiating and advising on acquisitions, dispositions, and joint ventures in the energy industry
Exceptional commitment to ethical practice and client confidentiality
