Traditionally an IP boutique, we have in recent years built a practice of tech transactions, corporate, and middle market M&A, all focused on high technology clients. The department includes two corporate venture and M&A attorneys who are approaching retirement in the next 3-5 years.We are looking for a corporate and securities attorney with at least 5-10 years experience to help expand our corporate and transactions practice. This is an ideal opportunity for a person with initiative and ambition to help build a practice of enduring value for themselves.
Portable business is not required but is attractive. The successful candidate will have experience and proficiency in corporate, transactional and securities law matters, including but not limited to:
- Formation and operation of Delaware (and other state) corporations and limited liability companies
- Counseling new companies regarding choice of entity
- Federal and state securities law compliance and filings
- Structuring equity allocations to founders and employees of startup companies
- Implementation of equity incentive plans including stock options and restricted stock purchases
- Drafting board and stockholder resolutions for various corporate actions
- Counseling directors and executive officers of corporate entities
- Maintenance of corporate and stockholder records
- Issuance and transfer of capital stock
- Seed and venture capital financing transactions
- Mergers, acquisitions and dispositions
- Counseling through founder and employee disputes
- Drafting NDAs, MSAs, JDAs, Terms of Use, Privacy Policies and other tech agreements
- Basic familiarity with recurring tax, employment and intellectual property issues
Our transparent and formula compensation system rewards attorneys based on performance.
