Overview
Hypori is seeking a Vice President of Legal to join our dynamic team! Reporting directly to the CFO, you will oversee all legal operations with a strategic and business-oriented approach. In this role, you will be crucial in advising on a range of legal matters, including providing daily support to cross-functional teams and driving company growth through supporting all revenue transactions for our commercial and federal government business lines. In addition, this role will own the creation and negotiation of contracts with vendors, channel partners, and other third parties. The ideal candidate will have extensive experience in SAAS/software technology transactions, negotiating, drafting, interpreting commercial agreements, and providing innovative legal and risk management strategies.
Collaborating with other leaders, you will define and implement legal frameworks and policies that align with our business objectives. You are a strategic thinker who understands the impact of legal terms on business success, thrives in a fast-paced environment, and works closely with the executive team to drive overall company growth and compliance.
Responsibilities:
- Legal Leadership: Provide strategic commercial and transactional legal advice and support to the Executive Team and other company stakeholders.
- Compliance and Governance: Ensure the company's compliance with all applicable laws and regulations, including data protection and cybersecurity laws.
- Transaction Management: Lead and manage all legal aspects of revenue transactions, including negotiating, drafting, and interpreting commercial agreements.
- Commercial Contracts:
- Strong focus on negotiating, drafting, and managing SaaS/software contracts.
- Review and negotiate end-user license agreements and ancillary documents such as DPAs and BAAs. Responsibilities include contract review, MSA's, NDA's, software, leases, and insurance.
- Experience with federal government contracts is a plus.
- Corporate Legal Matters:
- Oversee corporate governance.
- Participate in board meetings and ensure accurate minute-keeping.
- Transactional Work:
- Manage legal aspects of funding rounds, debt transactions, and M&A transactions.
- Address regular technology-related legal issues, including product, intellectual property, and other related matters.
- Act as a transactional attorney who can manage various legal issues and call in support as needed.
- Risk Management: Develop and implement innovative legal and risk management strategies to mitigate potential risks and support business growth.
- Business Impact: Translate legal terms and requirements into practical business solutions, ensuring alignment between legal strategies and business objectives.
- Team Collaboration: Work collaboratively in a fast-paced team environment, providing thought partnership and leadership in developing commercial legal frameworks and policies.
- Communication: Exhibit excellent written and verbal communication skills to convey legal concepts and strategies to non-legal stakeholders effectively.
- Experience Utilization: Leverage your extensive experience to provide practical and sound business judgment in legal matters.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Active bar membership in good standing.
- A minimum of 10 years of law practice experience, with a preference for a combination of law firm and in-house experience.
- Significant experience in technology transactions.
- Proven experience in negotiating, drafting, and interpreting commercial agreements.
- Demonstrated understanding of how legal terms translate to business impact.
- Strong business judgment and working well in a fast-paced team environment.
- Proven ability to provide thought partnership and leadership in developing innovative legal and risk management strategies.
