The Senior Associate, Federal M&A Tax that will assume a wide set of responsibilities including deal structuring, due diligence, tax modelling, post-deal integration, tax attribute management and tax technical documentation. The primary focus of this role will be on the US federal aspects of a transaction and related services. This role represents a unique opportunity for highly motivated professionals to collaborate closely with senior-level decision makers at middle market clients and contribute to the success of their growth strategies.
Responsibilities
- Serve as a member of multiple client engagement teams, participating in various transaction-related tax functions
- Perform US federal tax due diligence, tax structuring and tax modeling in connection with transactions across various industries with a focus on middle market private equity to help our clients manage risk and realize opportunities for incremental value
- Identify issues affecting purchase price, deal structure or deal termination
- Develop comprehensive solutions to complex transactional challenges, working directly with senior personnel at Portage Point and our clients
- Advise clients on US federal income tax services including tax planning, tax research and tax structuring
- Read and advise clients and counsel with respect to purchasing agreements
- Identify and act as a liaison for prospective opportunities to provide additional services, such as tax attribution limitation calculations, entity rationalization, transaction cost review and other post-acquisition services
- Draft clear and compelling reports outlining key observations and recommendations
- Collaborate closely with performance improvement, transaction execution, restructuring and investment banking colleagues
- Assist with developing internal training materials
- Share and manage best practices as well as lead internal trainings where required
- Support business development, talent acquisition and firm development efforts
- Contribute to creating a high-performing and inclusive culture
Qualifications
- Bachelor’s degree from a top undergraduate program
- JD or Master’s degree in taxation from a respectable institution preferred
- Located or willing to relocate to Atlanta, Chicago, Dallas, Los Angeles, New York or Philadelphia
- Invested in a team-based culture that involves in office four days per week and willing to work at client sites as needed
- Two plus years of tax advisory experience in a transaction / M&A tax practice within a global accounting firm, large law firm or similar consulting / advisory firm
- Experience with US federal C corporations, S corporations, Partnerships and cross-border tax considerations
- Proficiency with reorganizations, partnership modelling, consolidated returns, debt restructuring, bankruptcy matters, tax basis, earnings and profits and section 382 studies
- Fundamental working knowledge of common non-income based federal, state and foreign tax regimes, including but not limited to sales / use, payroll, property and value add taxes
- Strong current knowledge of US federal income tax, mergers, acquisitions and transaction services
- Strong tax research skills and tax research tools
- Ability to successfully work in a small, collaborative team environment
- High degree of maturity with a proven ability to interact with senior executives, private equity firms, lenders, lawyers, middle managers and line workers
- Effectively communicates analysis through Microsoft Word, Excel, Outlook and PowerPoint including high-quality messaging, structure and formatting
- Eagerness to be responsive at all times
- Proven track-record of success in high pressure, time-constrained environments
- Excellent written and verbal communication skills including strong e-mail etiquette
- Top-tier organizational skills and attention to detail

$135,000 - $200,000 a yearThe City of New York and the State of California require Portage Point to provide compensation information for this role. This range represents the anticipated minimum and maximum base + bonus for this position based upon a good faith and reasonable estimate.
