The position also supports the CFO, CIO, and Controller completing bank and investment related legal documents, assisting in amendments, updates and "re-papering" requirements as regulation changes require updating documents related to the Captive Investors Fund (CIF).

EDUCATION AND EXPERIENCE:
JD from accredited law school and Illinois license. 3- 5 years of experience in banking or insurance/reinsurance, with general in-house corporate work, corporate governance, and contract review experience preferred.

ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Significant emphasis on corporate agreement implementation, review and negotiation for various vendor relationships.
- Assist with maintenance of formal compliance programs, including various projects, corporate policy update and risk assessments (e.g. enhancement of vendor management/vendor due diligence process, implementation of data classification process, cybersecurity-related projects in partnership with IT).
- Coordination and organization of new banking relationships, including review of legal documents in conjunction with Cayman counsel and assist in managing letters of credit options.
- Coordination and assistance with the legal aspects needed for long term company initiatives.
- Support corporate governance for clients, including assistance with creation and ongoing management of group captive companies and review of board book materials, resolutions, and minutes; assist with streamlining related processes.
- Prepare documents related to licensing requirements and respond to inquiries and correspondence for Captive Resources domestic affiliates including agency filings. Liaise with the company’s licensing and registered agent service partners and outside counsel.
- Prepare and file applications for Secretary of State approval in states where new colleagues are hired.
- Prepare, and respond to anti money laundering, know your client, FATCA and CRS requirements and correspondence for the CIF, working with the CIF Operations team and the Company Secretary.
- Coordinate all of the legal and compliance activities, including maintaining a schedule of filings, related to the CIF, including engagement and oversight of outside counsel when necessary.
- Assist with periodic offering memorandum updates.
- Coordination and organization of new captive models and coverages.
- Review marketing and promotional materials to ensure that they conform to company standards and any applicable regulations.

Limited travel, both domestically and internationally for this position. This includes compliance with all the requirements of the localities and destinations, as well as transportation carrier requirements.
