Requirements
This position will be responsible for overseeing and supporting SolAmerica Energy’s Development and Financing efforts as a member of the Legal team, serving as the subject matter expert on real estate and title related services for solar and potentially other renewable energy projects through the lifecycle of acquisition and/or development, financings and divestitures, as applicable. The Paralegal will work independently on a broad range of duties and responsibilities including but not limited to title reviews, related documents, real estate agreements, project reports and tracking. The ideal candidate will be well versed in the real estate requirements and the development process of renewable energy projects, with an emphasis on non-utility scale solar.
This candidate will also be available to work in-person at the Atlanta office headquarters on a semi-regular, as-needed basis to support the development needs of the Company and to provide notary services for Officer execution of real estate and other documents, as required. This role requires a highly organized individual capable of managing competing priorities based on their current workload and the needs of the Company. To be successful in this role, this individual will also need the ability to work cross-functionally with the land team, developers, finance team and others to ensure critical deadlines for the Company’s project development schedule are met.
PRIMARY DUTIES & RESPONSIBILITIES
- Order and review title commitments, exception documents and surveys, interfacing directly with the title company and surveyor to resolve any issues or discrepancies, and obtain revised title commitments, title insurance proformas, and final surveys.
- Prepare and coordinate the execution of real estate agreements, such as lease and easement agreements (and associated memoranda, amendments, and notices of commencement and/or termination), landowner estoppels, SNDAs, and various other land and title and curative documents.
- Coordinate, track, and report on the execution of projects, including title searches and title curative work.
- Identify, communicate, and mitigate risks associated with real estate matters affecting project development.
- Conduct analysis, coordination, and procurement of crossing consents and crossing agreements with third parties, including conveying and drafting compliance requirements for/to the Construction team and contractors.
- Prepare first drafts of title and survey comment/revision letters to the title companies and surveyors.
- Prepare and administer contract critical dates, electronic calendaring, and closing checklists.
- Coordinate and assist with all aspects of closings including lease and purchase “closings”, including preparation of closing documents, exercise documents, conveyance documents, closing statements, and other closing documents as needed.
- Review organizational and authority documents.
- Work cross-functionally with the Land, Business Development, Project Development, Engineering, Pre-Construction, Construction, and Operations teams on various tasks from project inception through operations.
- Perform notary services
EDUCATION & KNOWLEDGE
- Bachelor’s Degree, paralegal certificate preferred, but not required.
- Minimum of 7 years of real estate paralegal experience in an in-house legal department or at a law firm.
- Previous experience in the renewable energy industry preferred, but not required.
- Enthusiasm for the renewable energy industry and sustainability (Highly preferred)
- Transactional experience and familiarity with closing mechanics and documentation.
