Overview
Corporate counsel will provide the business with high-quality, strategic guidance on the full spectrum of legal matters that apply to its services and operations. Primary responsibilities include day-to-day processing of commercial and corporate legal agreements in addition to collaborating with senior leadership to develop and maintain strategic risk management, regulatory compliance, and various other legal positions.
Expected Results
- Maintaining and enhancing our Master Service Agreements, Statements of Work, Mutual NDAs, Non-Reliance Letters, and Independent Contractor Agreements.
- Reviewing and negotiating client- and vendor-requested edits to our agreement templates.
- Identifying and mitigating legal risks by collaborating in the design and implementation of company policies and procedures for corporate governance.
- Helping ensure compliance with all laws and regulations applicable to the business.
- Promoting legal, compliance, and risk management best practices throughout the company.
- Collaborating on the company’s risk management at both the strategic and tactical levels.
- Communicating with third parties such as external counsel, insurance brokers, etc. on behalf of the business.
Qualifications
- Must have a J.D. degree from an ABA-approved law school and be an active member in good standing of the Bar.
- Must have 4+ years of experience in commercial contract law. Merger & Acquisition and Employment law experience is a plus.
- Excellent written and verbal communication skills, including strong interpersonal and presentation skills.
- Solid business acumen and strategic mindset paired the ability to communicate effectively with colleagues outside of the legal profession.
- Sound analytical and research skills.
- Excellent judgment, attention to detail, and ability to handle sensitive and confidential information.
- Great organization and time management skills.
- Ability to work independently with little or no supervision, prioritizing multiple demands in a fast-paced and dynamic environment.
