The attorney must be team-oriented and well versed in contract law and industry best practices to inform contract drafting and negotiation strategies.
The attorney will represent Uniswap Labs in communications with external parties.We are headquartered in SoHo in New York City, and this role has the option to be partially or fully remote.
Responsibilities
- Owning and managing all contract lifecycle processes, including tracking key milestones, renewals, and amendments, and maintaining accurate records in contract management systems.
- Structuring, drafting, negotiating and reviewing a variety of commercial contracts including, but not limited, to vendor agreements, service agreements, licensing agreements, collaboration agreements and consulting agreements.
- Providing legal guidance and support to various team members on contractual matters, ensuring compliance with company policies and applicable laws and regulations.
- Leading collaborative efforts with cross-functional teams, such as product, engineering, and business development, to facilitate contract negotiations and resolve contractual disputes in a timely manner.
- Driving improvements to contract lifecycle processes and operations. Developing and maintaining contract templates, standard clauses, and other legal resources to streamline the contract review and negotiation process.
Requirements:
- JD degree (or foreign equivalent) with good standing in at least one US state bar.
- 5+ years of professional experience in commercial contracts.
- Extensive experience drafting, negotiating and reviewing complex commercial contracts.
- Strong understanding of contract law principles and commercial transactions.
- Ability to multitask and prioritize workload in a fast-paced environment.
- Excellent judgment and the ability to make smart decisions in the face of ambiguity and imperfect information.
- Strong communication (both written and verbal) and project management skills with a strict attention to detail.
Nice to haves:
- Experience at an AM Law 100 corporate law firm, and/or working with companies in the technology and/or emerging company space.
- Experience with drafting intellectual property focused agreements, particularly licenses.
- Experience implementing, maintaining, and improving contract lifecycle processes.
- A strong understanding of the Web3/crypto ecosystem.
Minimum full-time salary of $203,000-$225,000. Disclosure in accordance with New York City's Pay Transparency Law.
