Overview:
Babel Street is seeking to hire a Contracts Manager who will report to our Senior Vice President of Growth Operations. The individual in this role will provide contracts support to Babel Street’s growing Partners Team, the General Counsel’s office, and Growth Operations. The primary role of the position will be to support the templating, drafting bespoke terms, and negotiation of partner agreements, as well as to assist in compliance of those agreements. A close secondary role will be to participate in the full range of the government contracting process from Requests for Proposals, terms review and redlines, opportunity evaluation and coordination, contract negotiation, contract administration, and contract closeout.
The individual will also manage and negotiate other business agreements with U.S. and sometimes International Government entities. An ideal candidate will have U.S. Federal Government contracts experience with commercial contract experience as well.The role will require frequent and close communication with prospects, partners, customers and senior management at Babel Street. Successful candidates will be able to negotiate and administer contracts in conjunction with Senior Management and ensure that contracts adhere to Babel Street’s requirements, appropriately mitigate risk, and protect the company’s interest and assets.
What you will do:
- Draft, review, and negotiate a broad range of contracts with customers, partners, resellers, and subcontractors. This includes, but is not limited to, government contracts, subcontracts, and commercial agreements.
- Facilitate procurement by acting as a Babel Street contact with customer and partner procurement officials
- Establish and maintain program controls and compliance for Babel Street prime contracts.
- Ensure compliance with our partner agreements.
- Provide effective contract administration and compliance (cradle to grave), including record keeping for contract-related correspondence and documentation
- Acts as the primary contact between the project team and/or business unit and Legal, ensuring that all legal and contractual matters are addressed efficiently and promptly.
- Support redlines to NDAs
- Provide contract-related issue resolution, both internally and externally
- Effectively assess risks and opportunities contained in various contracting documents and communicate those risk, opportunities, and other contractual information effectively to management and other stakeholders
- Work closely with the Proposals Manager to perform risk analysis and assessment relating to Requests for Information (RFIs) and Requests for Proposals (RFPs) to include compliance challenges, implementation risks, or other factors, and identify mitigation strategies
- Advocate for contract policy and procedures and identify efficiencies and areas of improvement
- Provide contractual guidance to customers, program managers, and executive management
What you will bring:
- Bachelor’s degree in business, finance, accounting or related field (or equivalent) with at least 10 years of experience in US government contracts, ideally with a large federal integrator
- Extensive experience working with government and commercial contract management along with in-depth operating knowledge of the Federal Acquisition Regulations (FAR/DFAR) and commercial best practices
- Understanding of commercial software licensing terms (particularly SaaS and On-premises products) and ability to reconcile commercial terms and government requirements
- Experience working with Resellers and Partners, including Teaming Agreements, NDAs, and similar contracts
- Exposure to financial aspects of contracts and other business arrangements, as well as the ability to contribute to the negotiation of a variety of contract types and structures
- Working knowledge of GSA, IDIQ, BPA, Sole Source, and other common contracting vehicles used by the U.S. government
- Experience maintaining records in the System for Award Management
- Strong negotiating and analytical skills
- Knowledge of or experience with Salesforce a plus
- Excellent verbal/written communication and interpersonal skills, as well as the ability to work in a rapidly moving, deadline-oriented environment
- Ability to collaborate across all company functions
- Self-starter with the ability to work independently with minimal supervision
- TS/SCI clearance (or ability to be cleared) a plus but not required
- Experience with commercial contracts also a plus
