The Director of Contracts manages all contracts across 540, reports to the CEO and works closely with Leadership and Project Anchors to support project implementation with an emphasis on contract and subcontract compliance at various points throughout the business cycle. A successful candidate requires a high degree of independent and creative judgment applied to the highest-level goals and objectives of the corporation.

RESPONSIBILITIES
- Manages the negotiation, acceptance, and ongoing compliance of contracts
- Reviews and approves contractual documents
- Manages critical contractual formation and management tasks and contractual obligations of high risk and visibility
- Leads contract negotiations and provides contractual domain expertise in implementation, execution and administration for competitive type contracts as well as sole source, directed awards
- Ensures satisfaction of client specifications, requirements, and deliverables while monitoring for adherence to 540 policy
- Advises management of contractual rights and obligations and provides interpretation of terms and conditions
- Interprets contract policies, operating practices, and performance standards
- Drafts and negotiates contract terms, for confidentiality agreements, teaming agreements, and contracts including price and payment terms, makes recommendations that will be favorable as a Prime contractor
- Champions contract policy and procedures assists in reviewing for efficiencies and improvement
- Mentors and builds contract and compliance
- Reviews and performs risk analysis of Requests for Proposals (RFPs) to include compliance metrics, develops spreadsheets and audit trails for responsive and compliant submissions, identifies risk and prepares mitigation strategies; provides input for pricing strategies
- Prepares formal contract correspondence
- Understands the business case and has an appreciation of financial/analytical issues and profit and loss implications
- Initiates, tracks and administers contract funding
- Ensures contractual compliance with terms and conditions, federal and state regulations and restrictions, as well as internal management objectives for existing and new business activities
- Works with different contract types (FFP, T&M, Cost Plus and hybrids), modifies contracts and exercises options, terminates and closes out contracts
- Provides guidance and leadership to cross-functional business team members to identify risk assessment and mitigation
- Administers various types of contracts, including but not limited to GSA, OASIS, IDIQ, CPFF, FFP and T&M
- Liaises with external clients (Contracting and Agreement Officers) and internal clients and teams
- Manages all existing contracts to comply with contract requirements and company policies
- Prepares, reviews, and executes all nondisclosure agreements and teaming agreements
- Prepares templates such as subcontract agreements, including flow-down of prime-contract clauses
- Prepare and issue subcontract/supplier RFx documents, and coordinate the evaluation of responses
- Prepares and executes subcontracts and individual consulting agreements (for 1099’s)
- Review and execute all supplier agreements
- Serves as the primary business point of contact for all Government Contracting Officers/Specialists, Prime Contractors, Subcontractors, and consultants
- Serves as Subject Matter Expert for the interpretation of, and adherence to, client rules and regulations
- Participates in potential protest analysis and execution
- Maintains contract documentation and track and report contract funding, portfolio, backlog, and historical award information
- Oversees, reviews, and approves 540s representation and certifications and subcontracting plans for business proposals
- Provides support to projects in interpreting contract requirements, reviews local subcontracts, local procurement packages and legally binding documents, requests necessary waivers and approvals and documenting contract compliance.
- Identifies concerns with requests for proposals (RFPs) and solicitations and ensure that CEO is appropriately consulted on all significant terms and risks
REQUIRED SKILLS & EXPERIENCE
- 10 years of relevant experience with at least 5 years in a lead role
- Experience with contract modifications and options
- Experience handling contract terminations and closeouts
- Extensive experience anticipating and mitigating risk
- Demonstrated understanding of FAR/DFARS, GSA Federal Schedules, Federal IDIQ, GWAC contracts and supplemental acquisition regulations of government agencies
- Detailed knowledge of U.S. federal contracting and procurement laws, regulations, policies, and procedures
- Proven experience successfully resolving complex contracting challenges throughout for multiple contract types
- Experience providing full-cycle support of the contracts function for multiple contract types and clients
- Experience overseeing all contract types (FFP, T&M, Cost Plus and hybrids)
- Knowledge of small business requirements
- Strong sense of team, a positive attitude, and excellent problem-solving skills
- Strong verbal and written communication skills
- Excellent track record of facilitating solutions to project challenges
- Exceptional interpersonal and intercultural communication skills with internal and external clients
