The Contracts Analyst is an integral member of the Contracts Team that supports the smooth day-to-day coordination and execution of contracts and other corporate documents.  Primary responsibilities include the creation, review, negotiation, and management of a variety of contracts such as services and consulting agreements, technology and support agreements, and partner and vendor agreements.  The role includes workflow management to ensure proper prioritization and timely completion of contracts, as well as document management to document and maintain all necessary information from new and existing contracts in an efficient manner.  Additional responsibilities include ongoing maintenance of process documentation, templates, and other team and company materials, as well as participation in process improvement efforts.

Education and Experience:


  • B.S. Degree in Business or related area of study (or equivalent work experience)
  • Minimum of 3 to 5 years’ experience in contract administration and management, including drafting and review of business-to-business contracts
  • Basic knowledge of standard contractual language, including intellectual property, warranty, etc.
  • Familiarity with worldwide data privacy regulations, including EU and UK GDPR/CCPA
  • Ability to work independently with minimal supervision
  • Some project management experience a plus

  • Strong commitment to do what is right for the customer, offering the appropriate solution for the task
  • Strong track record of juggling multiple tasks and initiatives in a fast-paced environment with ability to prioritize tasks based on company priorities
  • Keep the team moving on schedule while working to prioritize the right opportunities.  
  • Strong technical skills, including MS Word, MS Excel, MS Outlook, Docusign (or other e-signing platform), and Sharepoint

Essential Duties:


  • Serve as part of the Contract Management Team, which handles all contractual matters.  Together with the Contracts Team, act as contractual liaison between company and with its customers and vendors, as appropriate.  
  • Understand internal and external expectations and utilize that knowledge to manage workflow of requests, from document intake through circulation of fully executed document.
  • Ensure timely creation/review of contracts and approval/reconciliation of variations.
  • Provide guidance on contract queries of moderate complexity from internal and external customers.  Assist in guiding internal stakeholders in the understanding and interpreting contract terms.
  • Provide recommendations for contract modifications in order to reach contract consensus with customers, partners, and vendors, with assistance from Contracts Manager and/or outside counsel as needed for complex provisions/negotiations.  
  • Negotiate provisions of basic to moderate complexity to ensure contracts are consistent with Gateway contract principles, with assistance from Contracts Manager and/or outside counsel as needed for complex provisions/negotiations.
  • Ensure contract execution in accordance with Gateway company policies and provide contract summary to cascade non-standard contract provisions/requirement (where appropriate).
  • Analyze and maintain contractual records and documentation, including saving of documents, updating applicable systems and repositories with applicable details and/or terms, and routing documents internally and externally.
  • Assist with creation, maintenance, and revisions to contract templates, process documentation, Contracts Team Knowledgebase, and other contract-related documentation and resources.
  • Participate in process improvement initiatives within the Contracts Team, as directed by management.
  • Assist with other contract and/or corporate transactions and ad hoc requests, as directed by management.
