Summary
Smarsh is seeking a Senior Corporate Counsel with 5+ years of experience to join our growing legal team. The Senior Corporate Counsel will have a key role negotiating transactions for the company. The qualified candidate will have knowledge of the enterprise software industry and the experience to engage internally with Legal, Information Security, Sales, and Finance and externally with prospective customers and vendors on company agreements, customer agreements, and vendor agreements.
How will you contribute?
- Negotiate complex SaaS and software agreements including information security and privacy agreements for enterprise and midmarket level customers, primarily in financial services and the public sector.
- Negotiate Partner Agreements and support the partner team.
- Negotiate vendor agreements for products and services that support the business.
- Confer with sales, customer success, professional services, finance and other departments on relevant terms; understand when and how to escalate as needed.
- Interact regularly with sales team and executive team to support transactions.
- Work efficiently and effectively internally and externally to speed transactions to close
- Interact daily with legal team; maintain open communication; collaborate to achieve common and cross-functional goals.
- Other duties as assigned.
What will you bring?
- JD from an ABA accredited program; active bar member in any state or regional equivalent.
- 5+ years negotiating and managing complex technology transactions, preferably for entities in highly regulated industries; public sector experience is a plus. Ideal candidate will have experience representing or negotiating with Fortune 500 companies and have experience working in a firm and in-house legal department.
- Keen interest in negotiation strategy and deal design; proven experience using interest-based negotiation techniques.
- Excellent communication skills: comfortable in various modes of communication – phone, chat, email;
- Excellent time-management skills: ability to handle multiple projects and demands at one time.
- Proactive; can-do personality.
- Team-oriented nature and approach; ability to build solid, positive working relationships.
- Confident, emotionally mature, resilient.
- Detail-oriented; open to feedback on work product.
- Comfortable and calm under pressure.
- Technical knowledge; familiarity and comfort using databases and Office 365 tools; Salesforce and JIRA experience helpful
