About the Role


Fabric, a rapidly growing healthcare technology company, is seeking a seasoned legal leader to serve as our VP of Legal. This role reports to the CEO (with a dotted line to the COO) and is pivotal in driving our mission to improve patient access to care through innovative care enablement software tools and clinical services. The ideal candidate will be a strategic thinker with a deep understanding of the healthcare industry and a proven track record of success in managing complex legal matters. This role is fully remote. 

What you’ll do


  • Contract Negotiation: Lead contract negotiations with hospitals, health systems, and payors. Develop and implement standardized contract templates specific to Fabric’s software tools and clinical services, ensuring alignment with industry standards and mitigating risk.
  • Regulatory Compliance: Provide strategic legal counsel on a wide range of legal regimes, including HIPAA, Anti-Kickback Statute, corporate practice of medicine, direct primary care, Medicare, Medicaid, scope of practice, care modalities, and other applicable state and federal laws. Work closely with product and engineering teams to ensure compliance with evolving regulations throughout the software development lifecycle.
  • M&A and Integration: Oversee legal aspects of mergers and acquisitions, including due diligence, deal structuring, and post-merger integration, with a focus on legal and regulatory considerations for healthcare technology and clinical service acquisitions.
  • Risk Management: Identify and mitigate legal risks across the organization, particularly those associated with software development, clinical services delivery, and data privacy/security. Develop and implement a compliance program and collaborate with relevant teams to implement and maintain robust data security practices.
  • Cross-Functional Collaboration: Collaborate with cross-functional teams and executive team members to provide legal insights and support for various business initiatives.

Qualifications


  • Juris Doctor degree from an accredited law school and admission to a State Bar.
  • In-house legal experience at a healthcare technology company.
  • Minimum of 8 years of legal experience, with a focus on healthcare law and experience negotiating complex contracts for healthcare software and services.
  • Deep understanding of the healthcare regulatory landscape.
  • Strong leadership and management skills with the ability to build and develop high-performing legal teams.
  • Startup experience.
  • Excellent communication and interpersonal skills.
  • Ability to thrive in a fast-paced, dynamic environment.

Preferred Qualifications


  • Experience with mergers and acquisitions and corporate integrations.

Compensation


  • $250,000 - $325,000 base, plus bonus and equity.
