COMMERCIAL CONTRACTS MANAGER


POSITION SUMMARY:


Proconex, Inc. an Emerson Impact Partner, the global leader of process systems and solutions, is currently offering an opportunity for an experienced Commercial Contracts Manager to join our fast paced, customer orientated team in our Royersford, PA location. The successful candidate is responsible for reviewing customer terms and conditions, master service agreements, and confidentiality agreements making recommendations in accordance with company guidelines, risk management profile and business objectives.This position reports to our Chief Financial Officer and will primarily support our business units (sales and operations).  The ideal candidate will have a high degree of self-sufficiency and also enjoy being part of a team dedicated to providing service to our internal clients and external customers.

The position will work to improve efficiency and effectiveness of the customer contract and RFP review process. 

KEY RESPONSIBILITIES:


  • Works with Account Managers to develop, negotiate, and administer clear, concise, and effective Contracts with Customers
  • Understands business and sales strategies and ensures contracts are aligned with those strategies
  • Make judgment calls utilizing your strong business acumen to balance between customers’ position versus company’s risk tolerance while taking into account the nuances of the involved product lines and/or services
  • Works collaboratively with BU Management to ensure Contracts meet business objectives, and are practical and executable
  • Works with BU leadership on Terms and Conditions response for long term contracts
  • Works with BU leadership on business and contractual discussions with customers including follow up and resolving outstanding issues
  • Ensures appropriate leadership is apprised of contracting risks and ways to mitigate the risks
  • Must have a sense of ownership, be self-driven and have the ability to guide the business as an SME on transactional agreements and accompanying risk management
  • Supports implementation / execution within business systems
  • Maintains consistent best practices approach to Contract (Pricing and Terms) and Agreement terms and approaches
  • Develops framework for version management, document control, contract access and renewal and price management
  • Coordinate certificate of insurance requests and renewals
  • Create and manage “battle of the forms” procedures
  • Work with outside legal counsel on technical contractual issues
  • Review and support negotiation of Non-Disclosure Agreements and/or Confidentiality Agreements with customers and vendors
  • Maintain company standard terms and conditions in accordance with industry best practices, ensuring that business system forms and website are consistent and up-to-date
  • Facilitate completion of vendor qualification and/or other forms required by customers
  • Works collaboratively with BU Management to negotiate supplier contracts. 
  • Work collaboratively with Emerson Contract Administrators on common customer terms and conditions negotiations

JOB REQUIREMENTS:


  • EXPERIENCE:
  • 5 years’ contracts and industry experience

  • SKILLS:
  • Capability to negotiate, draft, interpret, and administer contracts
  • Solid understanding of contractual issues related to risk and reliability
  • Attention to detail, but must also see the big picture
  • Strong business acumen
  • Excellent interpersonal skills
  • Highly effective at building long term relationships and working within a sales team environment
  • Creative negotiator seeking win-win
  • Ability to use digital tools to organize contracts and administer access to the documents.

  • EDUCATION:
  • Post-secondary education
  • Business or Paralegal Degree preferred

  • WORKING CONDITIONS:  The position is based out of our Royersford Headquarters and will be able to take part in the company hybrid in-office options.
